Important: These Terms contain a mandatory arbitration clause and class action waiver (Section 16) that affect your legal rights, and a limitation of liability (Section 13). Please read them carefully.

1. The Ferried Marketplace

Ferried, LLC (“Ferried,” “we,” “us,” or “our”) operates the peer-to-peer pet transport marketplace located at getferried.com (the “Platform”).

Our Role. Ferried provides a digital venue that connects individuals or businesses seeking pet transportation services (“Pet Owners”) with independent third-party service providers (“Transporters”). Pet Owners and Transporters are collectively “Users.”

Service Disclaimer. Ferried is a logistics software platform — not a transportation carrier, motor carrier, broker, freight forwarder, or agent of any User. We do not own vehicles, employ drivers, or provide pet transport services. The legal contract for any transport job is strictly a private agreement between the Pet Owner and the Transporter, to which Ferried is not a party and under which Ferried has no obligations or liability.

2. Eligibility & Account Integrity

Age. You must be at least 18 years old to use the Platform.

Singular Identity. Each User may maintain exactly one (1) account. Creating duplicate or alias accounts to evade bans, fees, or negative reviews is a material breach of these Terms and will result in a permanent ban.

Verification. Transporters must pass a mandatory third-party background screening (criminal and motor vehicle records) before accepting jobs. Completion of onboarding does not limit Ferried's right to re-screen, suspend, or remove any User at any time in its sole discretion.

Team & Individual Disclosure. If a Transporter operates with more than one person performing transport services, every individual who will handle, drive, or care for a pet must be disclosed to Ferried and must individually pass background screening before participating. Undisclosed individuals performing services is a material breach of these Terms.

3. Binding Agreement & Incorporated Policies

By accessing the Platform, creating an account, or participating in any transaction, you expressly agree to be bound by these Terms. The following policies are incorporated by reference and form part of this agreement:

If any incorporated policy conflicts with these Terms, these Terms control unless the policy expressly states otherwise.

4. Changes to These Terms

We may modify these Terms or any incorporated policy at any time. When we do, we will post the updated version at getferried.com/terms and revise the “Last updated” date. Material changes will be communicated by reasonable means (for example, email or an in-Platform notice) before they take effect where practicable.

Your continued access to or use of the Platform after an updated version is posted constitutes your acceptance of the updated Terms. If you do not agree to a change, you must stop using the Platform. It is your responsibility to review these Terms periodically.

5. The Ferried Payment Flow (Stripe)

Collection. When a Pet Owner accepts a bid, Ferried collects the total funds (Booking Fee + Transporter Fee) via Stripe Connect.

Clearing. To protect both parties, the Transporter's portion is held by our payment processor in a pending state and is not immediately available for payout.

Authorized Release. Funds are cleared for payout to the Transporter only after the transport is marked complete on the Platform and verified by the Pet Owner (or via verified proof of delivery).

Direct Payment Prohibition. Bypassing Ferried's secure payment flow by paying a Transporter directly (cash, Zelle, Venmo, or otherwise) is a material breach of these Terms. It voids all platform protections, including the $2,000 Pet Protection Plan, and is grounds for immediate account termination.

6. Chargebacks & Payment Disputes

If a Pet Owner initiates a chargeback or payment dispute with their card issuer or bank without first using Ferried's support process, Ferried may:

  • Suspend the Pet Owner's account pending investigation;
  • Provide transaction records, communications, and evidence to the payment processor to contest the chargeback; and
  • Recover any chargeback-related fees or losses from the Pet Owner, including fees assessed by Stripe.

Pet Owners are strongly encouraged to contact support@getferried.com before disputing a charge with their financial institution; most payment issues are resolved faster through our support team.

7. Regulatory Compliance, Insurance & USDA

Transporter Responsibility. Transporters are solely responsible for obtaining all permits, insurance, and licenses required by applicable federal, state, and local law, and for complying with all such laws in performing services.

Insurance. Transporters must carry valid personal or commercial auto insurance as required by their state of operation and provide proof during onboarding. Ferried does not provide, maintain, or guarantee any insurance on behalf of Transporters. The $2,000 Pet Protection Plan is a discretionary reimbursement program, does not constitute insurance, and does not replace any coverage a Transporter is independently required to carry.

USDA Registration. Any Transporter operating as a “for-hire” carrier must comply with USDA APHIS regulations. Ferried may display and verify USDA registration numbers on Transporter profiles but does not warrant any User's regulatory status.

8. Independent Contractor Relationship

Transporters are independent contractors — not employees, agents, partners, or joint venturers of Ferried. Nothing in these Terms creates an employment relationship of any kind.

  • Ferried does not provide workers' compensation, unemployment insurance, health benefits, or any other employment-related benefit.
  • Transporters are solely responsible for their own taxes, including self-employment tax.
  • Ferried does not control the manner or means by which Transporters perform services; it sets only the marketplace standards required to use the Platform.
  • Transporters may not represent themselves as employees or agents of Ferried.

9. No Subcontracting, Brokering, or Disintermediation

Personal Performance. A Transporter who accepts a job must perform it personally (or through individuals disclosed and screened under Section 2). Transporters may not reassign, subcontract, broker, resell, or otherwise transfer an accepted job to any third party without Ferried's prior written authorization.

No Off-Platform Brokering. Users may not use the Platform to solicit, arrange, or route transactions off-Platform, or to broker jobs between Users outside Ferried's payment flow.

Reassignment. If a Transporter cannot fulfill an accepted job, they must not reassign it themselves; they must promptly contact support@getferried.com to arrange an authorized reassignment.

Violation of this Section is a material breach and may result in immediate suspension or permanent removal from the Platform, and forfeiture of pending payouts associated with the affected job.

10. Prohibited Transports & Conduct

Users may not use the Platform to arrange or perform any transport that is unlawful or that Ferried prohibits, including:

  • Transport of any animal for the purpose of euthanasia, end-of-life services, or similar purposes;
  • Transport of any animal a User is not legally entitled to possess or transport;
  • Transport of animals in a manner that violates applicable animal-welfare, health, or transport laws; or
  • Any transport prohibited by the incorporated Health, Vaccination & Equipment Standards.

Users also may not: harass, threaten, or defraud other Users; post false or misleading listings, bids, or reviews; scrape or misuse Platform data; or interfere with the Platform's operation or security.

11. Intellectual Property & Content

Ferried retains all ownership rights in the Platform, including the getferried.com domain, logos and branding, proprietary algorithms, and databases. You receive a limited, revocable, non-exclusive, non-transferable license to use the Platform for its intended purpose. You may not scrape, crawl, reverse-engineer, or create derivative works from any part of the Platform.

User Content. You are solely responsible for any content you post (listings, messages, reviews, images). You grant Ferried a non-exclusive, worldwide, royalty-free license to host, display, and use that content to operate and promote the Platform. Content posted by Users is their responsibility, not Ferried's, and Ferried does not endorse and is not liable for it.

12. Disclaimer of Warranties

The Platform is provided on an “As Is” and “As Available” basis. To the maximum extent permitted by law, Ferried disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Ferried makes no warranty regarding the reliability, conduct, or qualifications of any Transporter, the truthfulness of any Pet Owner listing, or the continuous availability of the Platform. You interact with other Users at your own risk.

13. Limitation of Liability

To the maximum extent permitted by Michigan law:

No Indirect Damages. Ferried, its officers, and employees are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the Platform or any transport.

No Responsibility for Transport Outcomes. Ferried is not responsible for pet injury, illness, loss, death, or property damage arising from a transport, which is the responsibility of the Users party to that transport.

Aggregate Cap. For any claim not covered by the $2,000 Pet Protection Plan, Ferried's total aggregate liability will not exceed the total fees you paid to Ferried in the six (6) months preceding the event giving rise to the claim.

Release Between Users. Ferried is not a party to transactions between Users. You release Ferried from any claims, demands, and damages arising out of disputes between Users or the acts or omissions of any User.

Carve-Out. Nothing in these Terms limits any liability that cannot be limited or excluded under applicable law, including liability for gross negligence, willful misconduct, or fraud.

14. Indemnification

You agree to indemnify, defend, and hold harmless Ferried, its officers, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your breach of these Terms; (b) your interactions with other Users; (c) any injury, illness, loss, or damage caused by or to a pet you listed or transported; or (d) your violation of any law or the rights of any third party.

15. Suspension & Termination

By You. You may stop using the Platform and close your account at any time.

By Ferried. Without limiting our other remedies, we may — in our sole discretion, with or without notice, and for any reason — limit, suspend, or terminate your account, withhold or reverse payouts associated with a breach, remove content, and take technical and legal steps to prevent access, including where we believe you: have breached these Terms or any incorporated policy; created risk or potential legal liability for Ferried or other Users; provided information we cannot verify; or engaged in fraudulent, unlawful, or harmful activity.

No Liability for Termination. Ferried will not be liable to you or any third party for suspending or terminating your account or access.

Survival. Sections that by their nature should survive termination — including Sections 8, 11, 12, 13, 14, 16, and 17 — survive.

16. Dispute Resolution, Arbitration & Governing Law

Governing Law. These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-laws rules.

Informal Resolution First. Before initiating arbitration, the parties agree to attempt to resolve any dispute informally by contacting support@getferried.com and allowing 30 days to resolve it.

Binding Arbitration. If informal resolution fails, all disputes arising out of or relating to these Terms or the Platform will be resolved by final and binding individual arbitration administered by the American Arbitration Association (“AAA”) under its then-current Consumer Arbitration Rules, seated in Michigan. The arbitrator decides all issues, except that a court of competent jurisdiction decides the enforceability of the Class Action Waiver below.

Class Action Waiver. You and Ferried each waive any right to bring or participate in a class, collective, or representative action or class-wide arbitration. Disputes must be brought individually.

Small Claims & Injunctive Relief. Either party may bring an individual claim in small-claims court, and Ferried may seek injunctive relief in court to protect its intellectual property or Platform security.

Opt-Out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing support@getferried.com with your name and account email. Opting out does not affect any other provision of these Terms.

17. General Provisions

17.1 Entire Agreement. These Terms and the incorporated policies are the entire agreement between you and Ferried regarding the Platform and supersede all prior agreements on that subject.

17.2 Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions stay in effect.

17.3 No Waiver. Ferried's failure to enforce any provision is not a waiver of its right to do so later.

17.4 Assignment. You may not assign these Terms without Ferried's prior written consent. Ferried may assign them, including in connection with a merger, acquisition, or sale of assets.

17.5 No Third-Party Beneficiaries. These Terms create no rights in any person who is not a party to them.

17.6 Force Majeure. Ferried is not liable for any failure or delay caused by events beyond its reasonable control, including natural disasters, outages, labor disputes, or governmental action.

17.7 Notices. Legal notices to Ferried must be sent to support@getferried.com and to Ferried, LLC, 175 Territorial Rd, Benton Harbor, MI 49022. We may give you notice by email or in-Platform message.

17.8 Headings. Section headings are for convenience only and do not affect interpretation.
